Filing of Board deliberations concerning an increase in share capital under Article 2443 of the Civil Code.
Pursuant to Article 72.5 of the Issuers Regulation and associated transitional provisions, please note that the deliberations of the Board of Directors of 8 July 2010 concerning:
- Proposal for a paid increase in share capital by partial exercise of the power under Article 2443 of the Civil Code assigned by the shareholders in their extraordinary meeting of 27 April 2010 for the purpose of issuing common shares to service the exercise of stock options assigned to the directors and managers of the company and of the subsidiaries included in the 2010 Stock Option Plan with exclusion of the option rights of the shareholders and with the application of a premium; inherent and consequent deliberations;
- Proposal for a paid increase in share capital by partial exercise of the power under Article 2443 of the Civil Code assigned by the shareholders in their extraordinary meeting of 27 April 2010 for the purpose of issuing common shares to service the exercise of stock options assigned to collaboratorsof the company and of the subsidiaries included in the 2010 Stock Option Plan, with exclusion of the option rights of shareholders and with application of a premium; inherent and consequent deliberations.
